1. Introduction

Welcome to the Terms of Service ("Terms") for the PinoCast. AiLive provides the PinoCast to you under these Terms. These Terms are between you and AiLive Technology Limited and/or its affiliates ("AiLive" "We," or "Us") and govern our respective rights and obligations.

By entering into, you agree to be bound by these Terms of PinoCast.

The "Last Updated" date above indicates when these Terms were last revised.

2. Account

Account is offered by PinoCast. Account is limited to individuals only and limited to one Account per individual. This Account is intended for personal, non-commercial use only.

PinoCast reserves the right to amend, cancel, or suspend the Account, in whole or in part, or change any of these Terms at any time for any or no reason.

By participating in the Account and taking advantage of its benefits, you agree to the following:

  • To maintain and use only one Account at any time
  • To be the only individual using your Account (i.e. Your account pertains uniquely to you; it may not be sold, transferred, shared with or assigned to any other party, nor can it be used by you for commercial purposes of any nature.)
  • That you may not earn benefits using others purchase transaction which will be considered fraudulent misconduct
  • That you have provided current and valid contact information which should be verified by you when joining the Account and throughout the terms of the Account
  • That your name as shown on your account matches your legal identification
  • That you only have one email address for your account
  • That you are at least 18 years or the age of majority in your state or province of residence, whichever is older
  • That you have not enrolled as a company and/or other entity, as only individuals are permitted to enroll in the Account
  • That you have read and understand these Terms

You may not use the Account for any purpose that intentionally or unintentionally violates these Terms, be it in letter or spirit. This includes but is not limited to any actions that (a) may result in damage to the Account or PinoCast; (b) is defamatory, abusive, obscene, suggestive, harassing, threatening, inflammatory, fraudulent or similarly unacceptable; (c) is linked to the commercial resale of PinoCast without explicit prior written consent from PinoCast and (d) attempts to or actually interrupts the operations of the Account or PinoCast business. Additionally, you may not use the Account in any way that violates applicable laws, causes damage to any third party and/or infringes on the rights of any third party. You agree to defend, indemnify and hold on the rights of any third party. You agree to defend, indemnify and hold PinoCast, its vendors and service providers, and each of their respective affiliates and employees harmless from and against any actual or threatened demands of any kind or nature arising out of or in connection with your violation of these Terms. 

You may join the Account online. Personal information such as your E-mail address are required upon registration. You will be asked and required to verify the e-mail address you provided when enrolling the Account or during the term of the Account. Please refer to our Privacy Policy to check more information.

3. Fees and Renewal of Pro Account

Pinocast offers Pro Account to users, and users who hold a Pro Account are entitled to the corresponding membership benefits. The Pro Account membership benefits include monthly benefits and annual benefits.

If you purchase monthly benefits and wish to convert them to annual benefits during the term of the monthly benefits, Pinocast provides a benefit conversion service. You may directly purchase annual benefits, which will take effect immediately upon purchase. Any unused portion of your monthly benefits will be carried over and accumulated into your annual benefits.

The specific membership benefits shall be subject to the descriptions displayed by Pinocast on the relevant pages. Pinocast may make certain modifications to the above membership benefits due to changes in laws, regulations, or policies, or based on its operational strategies, including but not limited to adjusting or discontinuing exclusive features or changing preferential policies. The specific membership benefits and fee arrangements shall be subject to the relevant announcements, pages, notices, or other publications issued by Pinocast. Such content shall take effect upon publication and shall constitute an integral part of this Agreement.

Please note that taxes may apply to both the Account fee and any discounted charges for Pro Account, and users are responsible for any such taxes.

If you sign up for your Pro Account directly with us and are billed by us, the billing terms below will apply to your Pro Account.

If all eligible payment methods we have on file for you are declined for payment of your Pro Account fee, you must provide us a new eligible payment method promptly or your Pro Account will be canceled. If you provide us with a new eligible payment method and are successfully charged, your new Pro Account period will be based on the original renewal date and not the date of the successful charge.

UNLESS YOU NOTIFY US BEFORE A CHARGE THAT YOU WANT TO CANCEL OR DO NOT WANT TO AUTO RENEW, YOU UNDERSTAND YOUR PRO ACCOUNT WILL AUTOMATICALLY CONTINUE AND YOU AUTHORIZE US (WITHOUT NOTICE TO YOU, UNLESS REQUIRED BY APPLICABLE LAW) TO COLLECT THE THEN-APPLICABLE ACCOUNT FEE AND ANY TAXES, USING ANY ELIGIBLE PAYMENT METHOD WE HAVE ON RECORD FOR YOU.

If you signed up for your Pro Account through a third party and are not billed directly by us, then the billing terms provided by the third party will apply to your Account. Please review the third party’s terms and conditions for details on billing and payment.

4. Other Limitations

We reserve the right to accept or refuse Account at our sole discretion. The criteria for acceptance or refusal will be determined by us and communicated as necessary.

We may send you emails and other communications related to your Account, regardless of your email preferences or settings associated with your PinoCast account.

You may not transfer or assign your Account or any Account benefits, except as expressly permitted in these Terms.

You are not permitted to use Account benefits to purchase products for resale, rental, or to ship to customers or potential customers.

From time to time, PinoCast may add or remove Account benefits at its sole discretion. Any changes to benefits will be communicated to you as necessary.

5. Account Cancellation

You may cancel your Pro Account and receive a full refund within 7 days from the date of joining, provided no benefits have been used.

Cancellation is not permitted if the Pro Account exceeds 7 days or if benefits have been used.

Upon successful cancellation, you will receive a notification in the center, and your Pro status and interface will revert to the original level.

After cancellation, you may redeem or purchase the Pro Account again at any time, with the validity period starting from the date of the second.

Refunds will be issued using the original payment method.

6. Special Promotions

PinoCast may, at its own discretion, launch special promotional offers and activities. Such special promotions will be subjected to these Terms as well as additional terms and conditions. Special promotions may or may not be distributed to the entire Account base. PinoCast reserves the right to target specific users for eligibility to receive any special promotional offers.

7. Consent to Third Party Content and Terms

Via the Account, PinoCast may provide or require access to third-party content, links to web pages, and any embedded content contained therein. We may also use the services of third parties to make portions of the Account available to you. The terms and conditions of the respective third-party sites govern your visit to and use of such sites, regardless of having attained access to them via the website or the Account and including any situations where your Account information is made available to these sites through their access. It is your sole responsibility to determine when you are accessing third-party content or services. PinoCast provision of any third-party content does not signify endorsement of such content or affiliation with the third party, nor does PinoCast make any guarantee of its accuracy, completeness, reliability or suitability. Your participation in the Account signifies agreement that you will not hold PinoCast responsible or liable in any manner for any third-party content or services.

8. Privacy Policy

PinoCast takes your privacy seriously. We also highly encourage you to review our Privacy Policy. Your participation in the Account signifies your acknowledgement and acceptance of the terms contained in the Privacy Policy. PinoCast retains the right to update, at its sole discretion, the content, terms, conditions, policies, and practices contained within the Privacy Policy; all updated versions will become effective upon publishing and will contain their date of publishing for your reference.

9. Electronic Communications

When you use PinoCast, or send e-mails, text messages, and other communications from your desktop or mobile device to us, you may be communicating with us electronically. You consent to receive communications from us electronically, such as e-mails, texts, mobile push notices, or notices and messages on our website or through the PinoCast and you can retain copies of these communications for your records. You agree that all agreements, notices, disclosures, and other communications that we provide to you electronically satisfy any legal requirement that such communications be in writing.

10. Copyright & Trademarks

All content included in or made available through any PinoCast, such as text, graphics, logos, button icons, images, audio clips, digital downloads, data compilations, and software is the property of PinoCast or its content suppliers and protected by United States and other applicable copyright laws. The compilation of all content included in or made available through any PinoCast is the exclusive property of PinoCast and protected by U.S. and other applicable copyright laws.

In addition, graphics, logos, page headers, button icons, scripts, and service names included in or made available through any PinoCast Service are trademarks or trade dress of PinoCast in the U.S. and other countries. PinoCast's trademarks and trade dress may not be used in connection with any product or service that is not PinoCast's or in any manner that is likely to cause confusion among customers. All other trademarks not owned by PinoCast that appear in any PinoCast Service are the property of their respective owners, who may or may not be affiliated with, connected to, or sponsored by PinoCast.

11. License & Access

Subject to your compliance with these Terms, PinoCast or its content providers grant you a limited, non-exclusive, non-transferable, non-sublicensable license to access and make personal and non-commercial use of the PinoCast. This license does not include any resale or commercial use of any PinoCast, or its contents; any derivative use of any PinoCast service or its contents; any downloading, copying, or other use of account information for the benefit of any third party; or any use of data mining, robots, or similar data gathering and extraction tools. You may not use the PinoCast Services to infringe, misappropriate, or violate intellectual property or other legal rights. All rights not expressly granted to you in these Terms are reserved and retained by PinoCast or its licensors, suppliers, publishers, rightsholders, or other content providers. No PinoCast service, nor any part of any PinoCast service or its contents, may be reproduced, duplicated, copied, sold, resold, visited, or otherwise exploited for any commercial purpose without express written consent of PinoCast. You will not, and will not allow any third party to, use AI-generated content from the PinoCast Services to, directly or indirectly, develop or improve large language or multimodal models, machine learning models or related technology. You may not frame or utilize framing techniques to enclose any trademark, logo, or other proprietary information (including images, text, page layout, or form) of PinoCast without express written consent. You may not use any meta tags or any other "hidden text" utilizing PinoCast's name or trademarks without the express written consent of PinoCast. You may not misuse the PinoCast. You may use the PinoCast only as permitted by law. The licenses granted by PinoCast terminate if you do not comply with these Terms.

12. Changes, Termination and/or Removal From Account

PinoCast may, in its sole discretion, alter, limit, or modify the Account rules, regulations, benefits, rewards eligibility for Account, or any other feature of the Account (including assigning any of its obligations to customers under the Account at any time to another person or entity, without recourse) or may terminate the Account any time at its sole discretion, by posting any such changes on the PinoCast App. Where required by law, PinoCast will send you a written notice of these changes, not more than 90 days and at least 60 days prior to the effective date of the change, setting out the amended terms and the date of the coming into force of the amendment.

YOUR CONTINUED PARTICIPATION IN THE ACCOUNT FOLLOWING SUCH CHANGES CONSTITUTES YOUR ACCEPTANCE OF ANY AND ALL CHANGES.

PinoCast reserves the right to exclude individuals from the Account in its sole discretion which will be effective immediately. In particular, including but not limited to, failure to provide and maintain valid contact information, any abuse, manipulation or "gaming" of the Account or its rules (as determined by PinoCast), violate any terms of the Account, any misrepresentation or any conduct detrimental to the interests of PinoCast not otherwise protected by law may subject users to Account revocation and will affect eligibility for further participation in the Account. Account is non-transferable and Account purchases must be made by the users. If your Account is revoked or otherwise cancelled, any benefits in your account will automatically expire. PinoCast reserves the right to make changes on its website and these Terms at any time. It is your responsibility to check or review these Terms from time to time to keep informed of any changes. By joining the Account, you hereby agree to be bound by any such changed Terms. If a user has no activity for two years, PinoCast reserves the right to permanently cancel the Account.

PinoCast may close, suspend, or cancel the account without notifying the user. PinoCast will not be responsible for failure to notify any user of cancellation of the users account if the users account did no contain valid contact information. In the event PinoCast cancels a Account as permitted under these Terms, PinoCast has no obligation to permit the individual whose Account was cancelled, to re-enroll in the Account.

13. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY LAW, PINOCAST AND ITS AFFILIATES WILL NOT BE LIABLE FOR ANY DAMAGES OF ANY KIND ARISING OUT OF OR IN CONNECTION WITH YOUR PARTICIPATION OR ACCOUNT IN THE ACCOUNT. INCLUDING DAMAGES ARISING OUT OF CHANGES TO OR TERMINATION OF THE ACCOUNT. THIS IS A COMPREHENSIVE LIMITATION OF LIABILITY THAT APPLIES TO ALL DAMAGES OF ANY KIND, INCLUDING BUT NOT LIMITED TO DIRECT, INDIRECT, INCIDENTAL, PUNITIVE OR CONSEQUENTIAL DAMAGES, LOSS OF DATA, INCOME OR PROFIT, LOSS OF DAMAGE TO PROPERTY AND CLAIMS OF THIRD PARTIES. TO THE EXTENT PERMITTED BY LAW, THE LIMITATIONS ON PINOCAST’S LIABILITY SET FORTH HEREIN SHALL APPLY WHETHER FOR BREACH OR REPUDIATION OF CONTRACT, OR WHETHER IN TORT, CIVIL LIABILITY BY WAY OF NEGLIGENCE, GROSS NEGLIGENCE, STRICT LIABILITY, OR OTHERWISE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGE. BY AGREEING TO THESE TERMS, YOU WILLINGLY AGREE THAT YOU HAVE RELINGQUISHED YOUR RIGHT TO SEEK THESE DAMAGES FROM PINOCAST AND THAT IS A REASONABLE ALLOCATION OF RISK.

14. No Guarantees on Merchandise

PinoCast, make no guarantees, warranties, or representations of any kind, expressed or implied, with respect to items of products. PinoCast shall not be liable for any loss, expense (including without limitation, any legal fees), accident or inconvenience that may arise in connection with the use of such items or as a result of any defect or failure of such items. Any implied warranties of merchantability or fitness for a particular purpose are specifically disclaimed.

15. Disclaimer of Warranties

Our services are provided on an "as is" and "as available" basis without any warranties of any kind, either express or implied. We do not guarantee that our services will be uninterrupted, secure, or error-free.

16. Disputes

If a dispute should arise between you and PinoCast, we want to provide you with a resolution that is efficient and cost effective. In our experience, almost all customer service disputes can be resolved to your satisfaction by our customer service team, reachable by emailing support@pinocast.com.

If your dispute cannot be resolved using our customer service team. You agree that the courts of Hong Kong, where we are located, shall have jurisdiction, and you consent to the exclusive jurisdiction and venue of these courts. Both parties waive the right to a trial by jury.

NO CLASS ACTIONS: You may only resolve disputes with us on an individual basis, and may not bring a claim as a plaintiff or a class member in a class, consolidated, or representative action. Class arbitrations, class actions, private attorney general actions, and consolidation with other arbitrations are not allowed.

LIMITATIONS PERIOD: Any and all claims actions arising out of or relating to the Terms must be started within one (1) year from the occurrence of the facts giving rise to such claim or action, or such claim or action shall be barred. This Limitations Period section is not applicable where local law prohibits it.

17. Applicable Law

By using any PinoCast services, you agree that the applicable laws of Hong Kong (without regard to principles of conflict of laws) will govern these Terms and any disputes that may arise between you and PinoCast.

18. Tax Liability

Taxing authorities may determine that benefits received through participation may be subject to tax liability, including, without limitation, foreign, federal, state and local taxes, surcharges, security charges and departure taxes. In that case, any tax liability, including disclosure, connected with the receipt and/or use of rewards is the responsibility of the user.

19. General Information

In the event that any portion of these Terms is deemed unlawful, void or unenforceable, then it will be deemed severable from these Terms and excluded, with no impact whatsoever to the validity and enforcement of remaining portions. Your rights and/or obligations may not be transferred in any way under these Terms. All of PinoCast rights and obligations under these Terms are freely assignable for any reason, including without limitation, in connection with a merger, acquisition, sale of assets, by operation of law or otherwise. Headings and titles in these Terms are provided only for convenience and shall not in any way affect the meaning or scope of any portion of these Terms. Interpretations of these Terms shall be at the sole discretion of PinoCast.
